The new Saudi Investment Law and the revised UAE Commercial Companies Law have successively taken effect. The former transforms foreign investment access from a licensing system to a registration system, cutting review time to 10 working days. The revision of the latter permits limited liability companies to issue multiple classes of shares and establishes a mechanism for corporate redomiciliation across jurisdictions. While these two landmark reforms substantially lower market entry barriers, compliance obligations have also been tightened, including the requirement for full UBO transparency disclosure in Saudi Arabia and divergent governance rules across UAE emirates. As a result, investment structure design and compliance due diligence have become critical pre-entry steps for enterprises targeting the Middle East market.
